Back To Your Roots Herbs: Online Affiliate Advertiser Contract

This agreement outlines the complete terms and conditions of the Online Affiliate Advertising Program (“the Program”) between you, the affiliate, and Back To Your Roots Herbs®, hereafter referred to as “the Company.” By participating in the Program, you agree to these terms, aiming to promote herbal wellness through our range of herbal supplements.

1. Rights and Restrictions

  • Application Review: The Company reserves the right to accept or reject any affiliate application at our discretion. We aim to review and approve applications promptly, typically within 3 business days.
  • Age & Transfer: Affiliates must be at least 18 years of age and may not transfer this agreement without the Company’s written consent.
  • Brand Protection: The use of “Back To Your Roots Herbs” or any similar variation in your URL, title, or paid keywords for search engine marketing (PPC) is strictly prohibited to protect our brand integrity.
  • Content Standards: Affiliates are encouraged to produce original, inspiring content related to herbalism, sustainable living, and natural health.

2. Prohibition of Self-Referral Orders

  • Strict Policy: Affiliates are strictly prohibited from using their own affiliate links for the purpose of placing orders for personal use, for the use of their immediate family members, or for any accounts directly or indirectly associated with the affiliate.
  • Intent: The intention of the affiliate program is to incentivize the promotion of Back To Your Roots Herbs products to new customers and audiences, not for personal discounting.
  • Consequences: Any commissions earned on orders that violate this self-referral restriction will be reversed. Repeated violations will result in suspension or termination from the affiliate program.

3. Payment Information & Commission Structure

  • Commission Rate: Affiliates earn a 20% commission on sales generated through their unique affiliate link or coupon code. Commission is calculated on the product total, excluding shipping and taxes.
  • Attribution Window: Commissions are payable on the first order per click within a 60-day attribution window. This means if a customer clicks your link and purchases up to 60 days later, you receive the credit.
  • Payout Method: Payments are facilitated exclusively through our Store Credit / Rewards Points system. This allows you to redeem your earnings for products on our site.
  • Maintenance: It is the responsibility of affiliates to maintain their contact information current. Any disputes regarding points/rewards must be resolved directly through the system’s designated support channels.

4. Cancellation

Either party may terminate this agreement at any time. Cancellation must be communicated in writing (email is sufficient). Reasons for termination by the Company may include defamation, spamming, violation of FTC/FDA guidelines, or any activities that may bring disrepute to the Company.

  • Upon clicking your affiliate link and making a purchase, customers become solely the Company’s responsibility. Affiliates will not have access to customer’ private data or engage in communications regarding their orders.
  • This agreement does not establish a joint venture or partnership between the affiliate and the Company. You are recognized as an independent advertiser.

6. Independent Contractor Status

Affiliates act as independent contractors, not employees or agents of the Company. You are responsible for your own tools, content creation, and taxes (where applicable), acknowledging no entitlement to the Company’s insurance or benefits.

7. Grant of License and Restricted Use

Affiliates are granted a non-exclusive, revocable right to use the Company’s marketing materials for the purpose of advertising, subject to our editorial discretion and compliance with updates.

8. Health Claims and FTC-Required Disclosures

  • Truth in Advertising: Affiliates must comply with FDA guidance on health claims. You may not make unverified medical claims regarding our products (e.g., claiming a product “cures” a disease).
  • Disclosure: In compliance with FTC guidelines, you must clearly disclose your relationship with the Company (e.g., “As an affiliate, I earn from qualifying purchases”) in any post or content where an affiliate link is used.

9. Changes to This Agreement

The Company reserves the right to modify these terms. Affiliates will be notified of changes 30 days prior, with continued participation post-notification indicating acceptance.

10. Privacy, Liability, and Governing Law

  • Privacy: The Company values your privacy and will not share your information without consent.
  • Limitation of Liability: The Company’s liability is limited as outlined, with affiliates agreeing to indemnify the Company against claims arising from their promotional activities or any breach of this agreement.
  • Governing Law: Any legal matters arising from this agreement shall be subject to the laws of the Commonwealth of Virginia, with proceedings to be held in Virginia Beach County, where our company is headquartered.
